Safety Assist Application
Velocity Vue, Inc.

 

This Velocity Vue End User License Agreement (“Agreement”) is a legal agreement between users (“You”) and Velocity Vue, Inc. (VVI, the “Company,” “we,” “us” or “our”) regarding the Company’s Applications.  For good and valuable consideration, You agree with us to the following:

  1. Grant of License. This license granted to You for the Licensed Applications by the Company is limited to a terminable, non-sublicensable, non-transferable, non-exclusive license to install and use and/or deploy the Licensed Applications.  You may not copy, decompile, reverse engineer, disassemble, and attempt to derive the source code of, modify, or create derivative works of the Licensed Application, any updates, or any part thereof.  Any attempt to do so is a violation of the rights of the Company. You acknowledge that VVI reserves and shall retain its entire right, title, and interest in and to Licensed Applications, including all copyrights, trademarks, and other intellectual property rights therein or relating thereto, except as expressly granted to you in this Agreement. If you breach this restriction, you may be subject to prosecution and damages. The Company does not transfer the title of the Licensed Applications to You; the license granted to You is not a sale.  This Agreement is a binding legal agreement between the Company and You.

  2. Consent to Use of Data. You agree that the Company may collect and use technical data and related information, gathered in any manner to facilitate the provision of software updates, product support and other services to you (if any) related to the Licensed Application. All information we collect through or in connection with Licensed Application is subject to our Privacy Policy[ 1] . The Company may use this information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to its customers. The Company may also use this information to provide notices to you which may be of use or interest to you.

  3. Use of VVI Applications. VVI applications are provided on a subscription plan that requires either annual or monthly payments.  VVI Applications are only licensed for use in the United States and its territories.  You shall use VVI Applications in compliance with all applicable laws and not for any unlawful purpose. Without limiting the foregoing, use, display or distribution of VVI Applications, together with material that is pornographic, racist, vulgar, obscene, defamatory, libelous, abusive, promoting hatred, discriminating or displaying prejudice based on religion, ethnic heritage, race, sexual orientation or age is strictly prohibited.

  4. DISCLAIMER OF WARRANTY. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE LICENSED APPLICATION IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED APPLICATION AND ANY SERVICES PERFORMED OR PROVIDED BY THE LICENSED APPLICATION ("SERVICES") ARE PROVIDED "AS IS" AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE LICENSED APPLICATION AND ANY SERVICES, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. VVI DOES NOT WARRANT AGAINST INTERFERENCE WITH YOUR ENJOYMENT OF THE LICENSED APPLICATION THAT THE FUNCTIONS CONTAINED IN OR SERVICES PERFORMED OR PROVIDED BY, THE LICENSED APPLICATION WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE LICENSED APPLICATION OR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE LICENSED APPLICATION OR SERVICES WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY VELOCITY VUE OR ITS AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY. SHOULD THE LICENSED APPLICATION OR SERVICES PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. OF A CONSUMER, SO THE ABOVE EXCLUSION AND LIMITATIONS MAY NOT APPLY TO YOU.  NOTE THAT VVI APPLICATIONS ARE NOT A GOVERNMENT APPROVED SAFETY PROGRAMS. IT IS A TOOL TO HELP YOU ADMINISTOR YOUR OWN COMPANY SAFETY PROGRAM. YOU HAVE SOLE RESPONSIBILITY FOR MEETING ANY LEGAL REQUIREMENTS.

  5. LIMITATION OF LIABILITY. TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR PERSONAL INJURY, OR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE LICENSED APPLICATION, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE) AND EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. In no event shall the Company’s total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the amount of fifty dollars ($50.00). The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.

  6. Indemnification. You agree to indemnify, defend, and hold harmless VVI and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including attorneys' fees, arising from or relating to your use or misuse of the Licensed Application or your breach of this Agreement, including but not limited to the content you submit or make available through this Licensed Application.

  7. Termination. This license is effective until terminated by You or the Company, but all provisions of this Agreement except Section 1 (Grant of License) will survive termination and continue in effect. If you wish to terminate this license for any reason, you must provide us at least 10 days notice by emailing us at support@velocityvue.com. Your rights under this license will terminate automatically without notice from the Company if you fail to comply with any term(s) of this license. Upon termination of the license, you shall cease all use of the Licensed Application, and destroy all copies, full or partial, of the Licensed Application. The financial obligations incurred by You shall survive the expiration or termination of this license. Your data may not be available to You after termination of this license.

  8. Export Controls.  You may not use or otherwise export or re-export the Licensed Application except as authorized by United States law and the laws of the jurisdiction in which the Licensed Application was obtained. In particular, but without limitation, the Licensed Application may not be exported or re-exported (a) into any U.S. embargoed countries or (b) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Person’s List or Entity List. By using the Licensed Application, you represent and warrant that you are not located in any such country or on any such list. You also agree that you will not use these products for any purposes prohibited by United States law, including, without limitation, the development, design, manufacture or production of nuclear, missiles, or chemical or biological weapons.

  9. Governmental Users. The Licensed Application and related documentation are "Commercial Items", as that term is defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation", as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights as are granted to all other end users pursuant to the terms and conditions herein.   10. Choice of Law; Jurisdiction.  The laws of the State of Texas, excluding its conflicts of law rules, govern this license and your use of the Licensed Application. Your use of the Licensed Application may also be subject to other local, state, or national laws. You and we agree to submit all disputes between us to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas. 11.      Entire Agreement.  This Agreement constitutes the entire agreement between you and us regarding the use of the License Application and supersedes any prior or contemporaneous understandings and agreements between you and us related to its subject matter.  

  11. Section Titles. The section titles in this Agreement are for convenience only and have no legal or contractual effect.

  12. Non-Waiver.  Our failure to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision.

  13. Severability. The parties agree that each provision of this Agreement is intended to be construed to be enforceable to the fullest extent possible.  If any provision or part of a provision of this Agreement is held to be unlawful, void, or unenforceable, that provision or part of the provision shall be deemed severable from this Agreement and not affect the validity and enforceability of any remaining provisions.

  14. Entire Agreement. This Agreement and our Privacy Policy constitute the entire agreement between you and VVI with respect to the Licensed Application and supersede all prior or contemporaneous understandings and agreements, whether written or oral, with respect to the Licensed Application.

  15. Assignment.   You may not assign your rights under this Agreement to any third party; we may assign your rights under this Agreement without condition.

  16. Upgrades and bug fixes. VVI may from time to time at its sole discretion develop and provide Licensed Application updates, which may include upgrades, bug fixes, patches, other error corrections and / or new features (collectively “Updates”). Updates may modify or delete in their entirety certain features and functionality. You agree that VVI has no obligation to provide any Updates or continue to provide or enable any particular features or functionality. Updates may vary depending on your device settings. When your device is connected to the Internet, Updates will either be automatically downloaded and installed, or you may receive notice of or be prompted to download and install available Updates. You shall promptly download and install all Updates and acknowledge and agree that the Licensed Application or portions thereof may not properly operate should you fail to do so. You further agree that all Updates will be deemed part of the Licensed Application and be subject to all terms and conditions of this Agreement.

Velocity Vue, Incorporated, and its subsidiary products and services, ("we" or "us" or "our") respects the privacy of our users ("user" or "you"). This Privacy Policy explains how we collect, use, disclose, and safeguard your information when you visit our website https://www.velocityvue.com including any other web application, media form, media channel, mobile website, or mobile application related or connected thereto (collectively, the "Site"). Please read this Privacy Policy carefully. By using the Site, you consent to the data and privacy practices described in this policy as well as the general Terms of Use. COLLECTION OF YOUR INFORMATION 

Please take care not to submit any sensitive or private information to other users of the site and do not submit any sensitive or private information in your public profile. Please keep in mind that if you directly disclose personally identifiable information or personally sensitive data through our profiles, user messaging, or other data collection areas, this information may be collected and used by others. Users which transmit confidential, personal, private, personally identifiable, or sensitive data to other users through their profile, or in any other way on the Site do so at their sole risk and Velocity Vue, Incorporated will not be liable in any way. 

We collect information about you when you fill in a sign up form, contact form, download content, download reports, interact with Site, sign up for newsletters, chat with us or email us directly. We also collect information you voluntarily give us when using our services, such as filling out safety compliance reports, maintaining credentials, contacting companies or organizations we work, contract, affiliate with, do business with, or collaborate with (“Partners”), and any other foreseen or unforeseen interaction with Site. 

We may collect information about you in a variety of ways. The information we may collect on the Site includes: 

Personal Data 
Personally identifiable information, such as your name, address, email address, and telephone number, location, employer, and demographic information, such as your age, hometown, education, job title, salary, work history and interests, that you voluntarily give to us when you register with the Site or when you choose to participate in various activities related to the Site. You are under no obligation to provide us with personal information of any kind, however your refusal to do so may prevent you from using the Site. 

We allow for the creation of accounts and profiles which may be publicly searchable on the Internet and viewable by anyone. Information on your profile may be used to identify you personally by anyone. Users expressly agree that the information they provide to Velocity Vue, Incorporated is not sensitive in nature and is true and accurate. 

While we may allow for the creation of anonymous profiles, it may be possible for other people to determine a user's personal identity. We cannot offer any guarantee or promise of anonymity to our users. Users expressly agree to not hold Velocity Vue, Incorporated liable for this responsibility in any way. Additionally, as the Internet is not a secure environment, Velocity Vue, Incorporated will not be liable for security breaches or for the actions of other people or users which attempt or do exploit, publish, use, transmit, or otherwise make public the personal identity or information of users. Users of Velocity Vue, Incorporated agree that their anonymity cannot be guaranteed by Velocity Vue, Incorporated and that they create profiles and accounts, and use Site, at their own risk. 

Data from your input 
Anything contained in your input when you perform a task using Site. 

Derivative Data 
Information our servers automatically collect when you access the Site, including but not limited to your IP address, your browser type, your operating system, your location, your access times, and the pages you have viewed directly before and after accessing the Site. This information is used for the operation of the service, to maintain quality of the service, and to provide general statistics regarding use of the Velocity Vue, Incorporated Site. 

Financial Data 
Financial information, such as data related to your payment method (e.g. valid credit card number, card brand, expiration date) that we may collect when you purchase, order, return, exchange, or request information about our services from the Site. We store only very limited, if any, financial information that we collect. Otherwise, all financial information is stored by our payment processor, Stripe, and you are encouraged to review their privacy policy and contact them directly for responses to your questions. 

Data From Social Networks 
User information from social networking sites, such as Facebook, Google+, Twitter, LinkedIn, including your name, your social network username, location, gender, birth date, email address, profile picture, and public data for contacts, if you connect your account to such social networks. 

Data From Contests, Giveaways, and Surveys 
Personal and other information you may provide when entering contests or giveaways and/or responding to surveys. 


USE OF YOUR INFORMATION 

We collect and use your personal information to operate Site and deliver the services you have requested. We do not sell data.

Velocity Vue, Incorporated may, from time to time, contact you on behalf of external business Partners about a particular offering that may be of interest to you. We may also share data with Partners to help deliver vertical related services, perform statistical analysis, perform industry trending, and send you emails or postal mail, provide customer support, or arrange for other services. In addition, since we offer industry services, Velocity Vue, Incorporated may share your personal information, which includes but is not limited to your profile and other personally identifiable information, with employers, job posters, recruiters, advertisers, sponsors, career service providers, industry analysts, or with an intermediate third-party. 

Velocity Vue, Incorporated may, from time to time, work with external third parties to provide or sponsor special content, such as eBooks, videos, and white papers. In those cases, your unique personally identifiable information (such as but not limited to e-mail, name, address, telephone number) may be shared with the trusted third party that is responsible for the specific special piece of content that you downloaded. In addition, we may provide hosted industry content which requires the transmission of your personally identifiable information. 

We may keep track of the websites and pages our users visit within Site, in order to determine what services are the most popular. This data is used to deliver customized content and advertising within Site to customers whose behavior indicates that they are interested in a particular subject area.

Having accurate information about you permits us to provide you with a smooth, efficient, and customized experience. Specifically, we may use information collected about you via the Site to:

  1. Velocity Vue, Incorporated uses the data you provide us to perform industry analysis and advance industrial safety. We provide this information as a part of Site. As a user of the Site, you may not opt out of this service.

  2. Velocity Vue, Incorporated also may match you with other users on our site.  As a user of the Site, you may not opt out of this service.

  3. Velocity Vue, Incorporated uses cookies to track your visit. Cookies may contain your email address, your IP address and other personal data.

  4. Velocity Vue, Incorporated stores all personal, and task, data that you provided us at sign up, during site use, and when you edit your profile.

  5. Velocity Vue, Incorporated tracks your location (city, state, country) via your IP address and GPS, and uses this information to expand industry data and to target advertising/sponsorship for your usage of Site.

  6. When you join social media groups operated by Velocity Vue, Incorporated, we collect any personal or survey data that you give us and may share such information with our Partners. You may be contacted by these Partners via phone or email.

  7. When you join social media groups operated by Velocity Vue, Incorporated, or Partner groups, we sometimes create an account for you at Velocity Vue, Incorporated.

  8. Velocity Vue, Incorporated tracks the last time you visited our website or Site.

  9. Velocity Vue, Incorporated tracks every click and action you perform on our website or Site.

  10. Velocity Vue, Incorporated tracks every message you send and receive on our website or Site.

  11. You may update your profile data on Site, and can request to have your account deleted and all of your profile data wiped out at any time, your action data remains available for industry and project analysis.

  12. As a user of Velocity Vue, Incorporated, we send you a number of emails daily/weekly. You cannot opt out of these notifications.

  13. Workers
     

    • Velocity Vue, Incorporated stores all personal data related to your account and relationships established with Employers.

    • Velocity Vue, Incorporated tracks which jobs/contracts/employers you submit on our Site. We may use this information to better match you with other opportunities including jobs, Services, and educational opportunities that you may be interested in. As a user of the Site, you may not opt out of this service.

    • Velocity Vue, Incorporated does not store your credit card information when you purchase our Site, but is able to renew your subscription through Stripe, our payment processor.

    • Velocity Vue, Incorporated uses various external services to enhance the user experience and services (Site). Users’ personal data and information may be sent to these external services.

    • You may be called or messaged by Velocity Vue, Incorporated about various industry related opportunities at the phone number you provide us, including your wireless number, through the use of an automated technology. You may not opt out of this service.

  14. Employers
     

    • Velocity Vue, Incorporated stores all personal data related to your account and relationships established with Employees and sub-contractors.

    • Velocity Vue, Incorporated tracks which jobs/contracts/employers you submit on our Site. We may use this information to better match you with other opportunities including jobs, Services, and educational opportunities that you may be interested in. As a user of the Site, you may not opt out of this service.

    • Velocity Vue, Incorporated does not store your credit card information when you purchase our Site, but is able to renew your subscription through Stripe, our payment processor.

    • Velocity Vue, Incorporated uses various external services to enhance the user experience and services (Site). Your candidates’ personal data and information may be sent to these external services.

    • You may be called or messaged by Velocity Vue, Incorporated about various industry related opportunities at the phone number you provide us, including your wireless number, through the use of an automated technology. You may not opt out of this service.


Velocity Vue, Incorporated does NOT track the following:

  1. Your racial or ethnic origin

  2. Your political opinions

  3. Your religious or philosophical beliefs or trade union membership

  4. Your genetic data / biometric data / health data

  5. Data concerning your sex life or sexual orientation




HOW LONG WILL WE SAVE YOUR DATA 

Your information will be kept with us until you notify us that you wish to delete your account. At such time we will delete your personal account and the data related to industrial safety will remain.


DISCLOSURE YOUR INFORMATION 

We may share information we have collected about you in certain situations. Your information may be disclosed as follows: 

By Law or to Protect Rights 
If we believe the release of information about you is necessary to respond to legal process, to investigate or remedy potential violations of our policies, or to protect the rights, property, and safety of others, we may share your information as permitted or required by any applicable law, rule, or regulation. This includes exchanging information with other entities for fraud protection and credit risk reduction. 

Third-Party Service Providers 
We may share your information with third parties that perform services for us or on our behalf, including payment processing, data analysis, email delivery, hosting services, customer service, and marketing assistance. 

Marketing Communications 
With your consent, or with an opportunity for you to withdraw consent, we may share your information with third parties for marketing purposes, as permitted by law. 

Interactions with Other Users 
If you interact with other users of the Site, those users may see your name, profile photo, personal information and descriptions of your activity. 

Online Postings 
When you post comments, contributions or other content to the Site, your posts may be viewed by all users and may be publicly distributed outside the Site in perpetuity. 

Affiliates 
We may share your information with our affiliates, in which case we will require those affiliates to honor this Privacy Policy. Affiliates include our parent company and any subsidiaries, joint venture partners or other companies that we control or that are under common control with us. 

Business Partners 
We may share your information with our business partners to offer you certain products, services or promotions. 

Social Media Contacts 
If you connect to the Site through a social network, your contacts on the social network will see your name, profile photo, and descriptions of your activity.

Sale or Bankruptcy 
If we reorganize or sell all or a portion of our assets, undergo a merger, or are acquired by another entity, we may transfer your information to the successor entity. If we go out of business or enter bankruptcy, your information would be an asset transferred or acquired by a third party. We are not responsible for the actions of third parties with whom you share personal or sensitive data, and we have no authority to manage or control third-party solicitations. If you no longer wish to receive correspondence, emails or other communications from third parties, you are responsible for contacting the third party directly.

We may use cookies, web beacons, tracking pixels, and other tracking technologies on the Site to help customize the Site and improve your experience[ 1] .

Internet-Based Advertising

By accessing the Site, you consent to the collection and use of your information by these third-party vendors.
